This Giveaway (as hereinafter defined) is sponsored by RILUK IPCO Limited c/o Authentic Brands Group, LLC, 1411 Broadway, 21st Floor, New York, NY 10018 ("Sponsor"), and administered by ABG-DIGITAL LLC, c/o Authentic brands Group, LLC, 1411 Broadway, 21st Floor, New York, NY 10018 ("Administrator").

1. ELIGIBILITY:

This contest or sweepstakes, as applicable ("Giveaway") is open only to legal residents of the forty-nine (49) United States and the District of Columbia, specifically excluding residents of Rhode Island, who are eighteen (18) years of age or older or the age of majority in their state of residence at the time of entry, and have a valid email address. Void where prohibited by law. Employees (and their immediate family or household members) of Sponsor and its current and future parent, affiliates, subsidiaries, divisions, and related companies, licensees, suppliers, printers and advertising, promotional and judging agencies or any other company or individual involved with the design, production, execution or distribution of the Giveaway are not eligible. "Immediate family members" shall mean parents, stepparents, children, stepchildren, siblings, stepsiblings, or spouses, regardless of where they live. "Household members" shall mean people who share the same residence at least three (3) months a year, whether related or not. The Giveaway is subject to all applicable federal, state and local laws, codes, statutes and regulations. Participation constitutes each entrant's (each, an "Entrant") full, unconditional and irrevocable agreement to be bound by these Official Rules and the decisions of Administrator, whose decisions shall be binding and final in all respects relating to this Giveaway. Winning a Grand Prize (as hereinafter defined) is contingent upon fulfilling all requirements set forth herein.

2. GIVEAWAY ENTRY PERIOD:

Eastern Time ("ET") shall control for all purposes of this Giveaway. The term of the Giveaway begins at 10:00 a.m., ET on July 9th, 2025, and ends at 9:59 a.m. ET on August 8, 2025 ("Giveaway Term"). Within the Giveaway Term, there is one (1) entry period (the "Giveaway Entry Period") and one (1) corresponding random drawing (the "Drawing") as outlined in the "Giveaway Entry Period & Drawing Schedule" below. Entries must be received during a Giveaway Entry Period to be eligible for that Giveaway Entry Period's Drawing and Grand Prize. Non-winning entries for a Giveaway Entry Period will not roll over to any subsequent Giveaway Entry Period, if any.

3. HOW TO ENTER:

NO PURCHASE NECESSARY. A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING. There are two (2) options to enter the Giveaway (each of the following methods of entry are referred to herein, individually as an "Entry" and collectively as "Entries").

ENTRY METHOD VIA PROGRAM MEMBERSHIP.

To enter without being or becoming a paid member of the Authentic Membership Program (the "Program") operated by Administrator, follow the FREE ALTERNATE METHOD OF ENTRY INSTRUCTIONS set forth in Section 3(b) of these Rules. To enter the Giveaway via Program membership, (i) active members of the Program must follow the instructions located on the entry submission form located at https://www.reebok.com/pages/member-sweepstakes and click on the "Enter Now" button to automatically receive one (1) entry into the Giveaway, or (ii) you can join the Program by visiting https://www.reebok.com/pages/sweepstakes and clicking "Authorize purchase" or "Pay now", as applicable, during the Giveaway Entry Period to create a Program account (each, an "Account") and you will automatically receive one (1) Entry into the Giveaway. Membership in the Program is free for the first 30 days, then Five United States Dollars ($5 USD) per month thereafter, excluding any and all federal, state and local taxes. Your Membership is subject to the Membership Terms, which is available at member.authentic.com/terms-conditions ("Membership Terms"), pursuant to which your Membership may be cancelled at any time by following the instructions set forth in the Membership Terms. By using this entry method, you are indicating that you have read, understand and fully agree to the Membership Terms. Paid membership is not required for entry.

FREE ALTERNATE METHOD OF ENTRY INSTRUCTIONS.

To enter without making a purchase, legibly handwrite your complete name, mailing address, valid email address and date of birth and mail a postcard or a card that is no smaller than 3 ½ inches and no larger than 4 ¼ x 6 inches, with proper postage to: JULY 2025 REEBOK GIVEAWAY, 1411 Broadway, 21st Floor, New York, NY 10018. All write-in Entries must be postmarked and received by August 8th, 2025. There is a limit of one (1) write-in Entry per envelope/postcard. Each envelope/postcard is considered one (1) Entry. Multiple Entries submitted or completed by anyone other than the Entrant are void. No mechanical reproductions will be accepted. Write-in Entries must contain all entry fields outlined above; otherwise, they are void and will not be eligible to win.

Regardless of the Entry method used to enter the Giveaway, there is a limit of one (1) Entry per person per Giveaway Entry Period. In order to be eligible for the Giveaway Entry Period's Drawing and Grand Prize, your Entry must comply with all terms and conditions of the Giveaway and must be submitted during the Giveaway Entry Period. By participating, you are indicating that you have read, understand and fully agree to these Official Rules. Neither Sponsor nor Administrator are responsible for lost, late, incomplete, invalid, or misdirected submissions, all of which will be disqualified. Failure to provide true and accurate information at time of entry may lead to disqualification. In the event of any dispute as to the identity of any Entrant, such Entry in dispute will be declared made by the registered name and address on such Entry. Potential winner(s) may be required to show proof of being the authorized Account holder. To be eligible for the Giveaway, each Entry must be in compliance with the format and other requirements set forth in these Official Rules; such requirements being made a part of these Official Rules and incorporated herein by reference. Each online Entry submission must be manually keystroked by Entrant; use of programmed, robotic or like means of entry (including third party contest services) is prohibited. Administrator and Sponsor will not acknowledge receipt of any Entry.

4. TERMS OF SUBMISSION:

In connection with a confirmed Grand Prize winner's receipt of a Grand Prize, such winner may choose and/or be invited to share photos and/or comments about the Grand Prize ("Content") on a social media platform and tagging, mentioning or otherwise designating an official Reebok social media account owned and/or operated by Sponsor, its affiliates and/or licensees. Entrant agrees that Entrant is responsible for compliance with and shall comply with the posted policies, guidelines, and terms of use on any such platform on which an Entrant posts any such Content, and is subject to the understanding and acknowledgement that platform disclosure requirements may not necessarily satisfy the disclosure requirements required under applicable laws. By entering the Giveaway, you represent and warrant that you are the owner or licensee of any and all materials and information, including comments and personal information, submitted by you to the Giveaway (including any Content) and you automatically grant, and you represent and warrant that you have the right to grant, to Sponsor and Administrator an irrevocable, perpetual, non-exclusive, transferable, fully-paid-up, royalty-free, worldwide license (with the right to sublicense at multiple levels) to use, copy, publicly perform, publicly display, reformat, translate, excerpt (in whole or in part), transfer, distribute any such materials for any purpose and in any format on or in connection with the social media account where you submit Content (if any) or its affiliated or partner sites, the Administrator's and/or Sponsor's respective businesses, or the promotion thereof, prepare derivative works, incorporate into other works, and/or grant and authorize sublicenses of the foregoing. Content must not, in the sole and unfettered discretion of the Sponsor and/or Administrator, contain obscene, provocative, defamatory, sexually explicit, or otherwise objectionable or inappropriate language, and any Content must not infringe any intellectual property rights of third parties.

You furthermore represent and warrant that all persons and entities connected with the materials and information submitted in connection with the Giveaway have authorized the use of their names, tagging of their social media accounts (as applicable), photographs and likeness, and biographical data in connection with the advertising, promotion, trade and other exploitation of the materials and information and the rights granted herein. You understand that Administrator and Sponsor reserve the right to disqualify any Entrant from the Giveaway at any time for any reason at its sole and absolute discretion. EXCEPT WHERE PROHIBITED BY LAW, BY PARTICIPATING, THE ENTRANT REPRESENTS AND WARRANTS TO SPONSOR AND ADMINISTRATOR THAT THE ENTRANT HAS ALL RIGHT, TITLE AND INTEREST NECESSARY TO GRANT ADMINISTRATOR AND SPONSOR THE WORLDWIDE, ABSOLUTE, IRREVOCABLE AND UNRESTRICTED RIGHT AND LICENSE TO ADAPT, PUBLISH, USE, REUSE, EDIT, AND/OR MODIFY THE CONTENT CONTAINED IN THE ENTRY IN ANY WAY AND POST THE CONTENT ON THE INTERNET OR USE THE CONTENT IN ANY OTHER WAY AND AGREES TO INDEMNIFY, DEFEND AND HOLD ADMINISTRATOR AND SPONSOR HARMLESS FROM ANY CLAIMS TO THE CONTRARY.

5. SELECTION OF WINNER:

On or about 10:00 a.m. ET on August 11th, 2025, Administrator will select one (1) Entry from the Giveaway Entry Period for the Grand Prize described below in one (1) random Drawing of all valid Entries during the Giveaway Entry Period. For the avoidance of doubt, there will be a total of one (1) random Drawing for this Giveaway. Exact timing of the Grand Prize selection will be at the sole and absolute discretion of Administrator and Sponsor. There is a limit of one (1) Grand Prize per person per Giveaway Entry Period. The selected Entrant will be contacted at the email provided in their Entry submission form. The potential Grand Prize winner(s) must follow the Grand Prize claim instructions provided as part of the notification and any subsequent claim instructions provided by Sponsor and/or Administrator, or the Grand Prize will be forfeited in its entirety. It is recommended that you check your spam folder. Administrator and Sponsor's decisions as to the administration and operation of the Giveaway and the selection of the potential Grand Prize winner is final and binding in all matters related to the Giveaway. Grand Prize winner(s) will be notified within approximately one (1) business day after the Drawing(s). Failure to respond to the initial notification within one (1) business day will result in disqualification. Alternative winners (if any) shall be chosen on, or approximately seventy-two (72) hours thereafter.

6. THE POTENTIAL GIVEAWAY GRAND PRIZE WINNER(S) IS/ARE SUBJECT TO VERIFICATION BY ADMINISTRATOR AND SPONSOR WHOSE DECISIONS ARE FINAL AND BINDING IN ALL MATTERS RELATED TO THE GIVEAWAY.

7. VERIFICATION OF POTENTIAL GRAND PRIZE WINNER(S):

The potential Grand Prize winner must continue to comply with all terms and conditions of these Official Rules and winning is contingent upon fulfilling all requirements. The potential Grand Prize winner may be required to sign and return to Administrator and/or Sponsor, within five (5) days of the date notice is sent, an affidavit of eligibility, and liability/publicity release (except where prohibited) in order to claim the Grand Prize, if applicable. If any potential Grand Prize winner cannot be contacted, fails to sign and return the affidavit of eligibility and liability/publicity release within the required time period (if applicable), or if the Grand Prize or Grand Prize notification is returned as undeliverable, the potential Grand Prize winner forfeits the Grand Prize. In the event that a potential winner of the Grand Prize is disqualified for any reason, Administrator and/or Sponsor may award the applicable Grand Prize to an alternative winner by random Drawing replacement from among all remaining eligible Entries. An alternate Grand Prize winner will be a selection made by Administrator in its sole discretion.

8. GRAND PRIZE AND APPROXIMATE RETAIL VALUE:

One (1) Grand Prize will be awarded. The Grand Prize winner will be awarded one (1) Reebok e-gift card with an approximate retail value of One Thousand United States Dollars ($1,000 USD) redeemable online only at www.reebok.com and remains subject to the e-gift terms and conditions located on www.reebok.com (the "Grand Prize"). The Grand Prize will be delivered to the Grand Prize winner via email using the email provided by the selected Entrant in their Entry submission form. There is a limit of one (1) Grand Prize per person per Giveaway Entry Period. No cash equivalent for any Grand Prize will be awarded. Each Grand Prize is non-transferable, and no substitution will be made except as provided herein at the Administrator and Sponsor's sole and absolute discretion. Administrator and/or Sponsor reserve the right to substitute the listed Grand Prize for one (1) of equal or greater value for any reason or no reason whatsoever. Except where prohibited by law, (x) a Grand Prize winner is responsible for all fees associated with Grand Prize receipt and/or use and (y) all federal, state, and local tax liabilities are the sole and absolute responsibility of a Grand Prize winner. Subject to the foregoing requirements, the Grand Prize shall be delivered to Grand Prize winner directly by Sponsor and Sponsor may contact Grand Prize winner if additional information is required.

9. ODDS OF WINNING:

Odds of winning the Grand Prize depend on the total number of eligible Entries received during the same Giveaway Entry Period.

10. ENTRY CONDITIONS AND RELEASE:

Except where prohibited by law, by participating, each Entrant fully and unconditionally agrees to: (a) comply with and be bound by these Official Rules and the decisions of Sponsor which are binding and final in any and all matters relating to this Giveaway; (b) release and hold harmless Administrator, Sponsor, Meta, Instagram, Facebook and their respective parent, subsidiary, and affiliated companies, the Grand Prize supplier(s) and any other organizations responsible for sponsoring, fulfilling, administering, advertising or promoting the Giveaway, and all of their respective past, present and future officers, directors, shareholders, employees, agents, representatives and licensees (collectively, the "Released Parties") from and against any and all claims, expenses, losses, damages and liability, including but not limited to negligence, damages of any kind to persons, animals and property, including but not limited to invasion of privacy (under appropriation, intrusion, public disclosure of private facts, false light in the public eye or other legal theory), defamation, slander, libel, violation of right of publicity, infringement of trademark, copyright or other intellectual property rights, property damages, or death or personal injury arising out of or relating to a participant's Entry, creation of an Entry or submission of an Entry, participation in the Giveaway, acceptance or use or misuse of the Grand Prize (including any travel or activity related thereto) and/or the broadcast, exploitation or use of Entry; (c) indemnify, defend and hold harmless Administrator and Sponsor from and against any and all claims, expenses, losses, damages and liabilities (including reasonable attorney's fees) arising out of or relating to an Entrant's participation in the Giveaway and/or Entrant's acceptance, use or misuse of the Grand Prize; and (d) consent as required by applicable law to Administrator and Sponsor's use of information collected for purposes of operating the Giveaway and for statistical purposes.

11. GENERAL CONDITIONS:

Administrator reserves the right to cancel, suspend and/or modify the Giveaway, or any part of it, if any fraud, technical failures or any other factor beyond Administrator's reasonable control that impairs the integrity or proper functioning of the Giveaway, as determined by Administrator in its sole and absolute discretion. Administrator reserves the right to cancel Giveaway if too few Entries are received. Administrator reserves the right in its sole and absolute discretion to disqualify any Entrant acting in violation of these Official Rules or found tampering with the Entry process or with the operation of the Giveaway or any other promotion or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately undermine the legitimate operation of the Giveaway may be a violation of criminal and civil law, and, should such an attempt be made, Administrator and Sponsor hereby expressly reserve the right to seek damages from any such person to the fullest extent permitted by law. Administrator and Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. In the event the Giveaway is terminated early, a winner will be selected from all eligible Entries received at the time of termination. Notice of such action by Administrator will be posted on member.authentic.com.

12. LIMITATIONS OF LIABILITY:

Except where prohibited by law, the Released Parties are not responsible for: (a) any incorrect or inaccurate information, whether caused by Entrant(s), printing errors or by any of the equipment or programming associated with or utilized in the Giveaway; (b) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (c) unauthorized human intervention in any part of the Entry process or the Giveaway; (d) technical or human error which may occur in the administration of the Giveaway or the processing of Entries; or (e) any injury or damage to persons, animals, or property which may be caused, directly or indirectly, in whole or in part, from Entrant's participation in the Giveaway or receipt or misuse of any Grand Prize. If for any reason an Entrant's Entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, Entrant's sole remedy is another Entry in the Giveaway. No more than the stated number of Grand Prize(s) will be awarded.

13. PUBLICITY:

Except where prohibited by law, participation in the Giveaway constitutes participants consent to Administrator, Sponsor and its licensees' and other designees' use of winners' names, images, likeness, photograph, voice, opinions and/or hometown and other indicia of his/her persona for advertising/publicity/trade or promotional purposes in any and all forms of media, worldwide, without notice, review, approval, or further payment or consideration.

14. DISPUTES:

Entrant agrees that, except where prohibited by law: (a) any and all disputes, claims and causes of action arising out of or connected with this Giveaway, or any prizes (including the Grand Prize) awarded, other than those concerning the administration of the Giveaway or the determination of winners, shall be resolved individually, without resort to any form of class action; (b) any and all disputes, claims and causes of action arising out of or connected with this Giveaway, or any prizes (including the Grand Prize) awarded, shall be resolved exclusively by the United States District Court or the appropriate New York State Court located in the New York County, New York; (c) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Giveaway, but in no event attorneys' fees; and (d) under no circumstances will Entrant be permitted to obtain awards for, and Entrant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. Except where prohibited by law, all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the Entrant Sponsor and Administrator in connection with the Giveaway, shall be governed by, and construed in accordance with, the laws of the State of New York, without giving effect to any choice of law or conflict of law rules (whether of the State of New York or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of New York.

16. ENTRANT'S PERSONAL INFORMATION:

Administrator may collect non-public personally identifiable information in connection with the operation of the Giveaway. Neither Administrator nor Sponsor is responsible for disclosures made by any third party. Information collected from Entrants is subject to the Administrator's Privacy Policy and may be shared with third parties for the purpose of administering the Giveaway and as otherwise described in the Privacy Policy, which is available at member.authentic.com/privacy-policy.
